For Online Use Only – Binding Agreement by Access or Use

These Terms and Conditions (these “Terms”) form a legally binding agreement between HawkIntel (“HawkIntel,” “we,” “us,” or “our”) and any person or entity (“Customer,” “you,” or “your”) who accesses, browses, uses, or otherwise interacts with the HawkIntel website (the “Site”) or any related online services, applications, APIs, dashboards, reports, or features (collectively, the “Service”).
CRITICAL NOTICE
BY ACCESSING, BROWSING, USING, OR OTHERWISE INTERACTING WITH THE SITE OR SERVICE IN ANY WAY — INCLUDING VIEWING ANY PAGE, CLICKING ANY LINK, UPLOADING DATA, RECEIVING OUTPUTS, OR MERELY VISITING — YOU UNEQUIVOCALLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND IRREVOCABLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE AND DISCONNECT. NO FURTHER NOTICE OR SIGNATURE IS REQUIRED. YOUR CONTINUED USE CONSTITUTES ACCEPTANCE EVEN IF YOU ONLY PASSIVELY VIEW CONTENT.
The Service is provided solely for lawful business, commercial, professional, or organizational purposes through online access. No consumer use is permitted or protected hereunder to the maximum extent allowed by law.
Your access or use of the Service manifests your full acceptance. You represent and warrant you have authority to bind yourself or your entity, that use is for business purposes only, and no consumer laws apply to the fullest extent permitted.
Subject to these Terms, HawkIntel grants a revocable, non-exclusive, non-transferable, non-sublicensable license to access the Service online solely for your internal business use. All rights not granted are reserved. Violation terminates the license immediately.
The Service provides informational AI-driven analysis of uploaded Customer Data (e.g., CSV/XLSX/PDF via secure folders). Outputs are tools only — potentially incomplete, inaccurate, delayed, biased, or unsuitable. HawkIntel does not verify Customer Data; the Service is not advice (legal, financial, etc.); all decisions and risks are yours alone.
You shall not rely on the Service or Outputs for any decision. Independently verify everything. Any reliance is at your sole peril.
You are solely responsible for Customer Data’s legality, accuracy, rights, and compliance. You grant HawkIntel all necessary rights to process it as needed. You indemnify HawkIntel against all claims related thereto (see Section 18).
HawkIntel may process, analyze, and handle Customer Data and Usage Data solely in memory (RAM) for Service delivery, security, improvement, billing, and enforcement. Data is purged immediately post-processing per zero-retention policy — no disk storage, backups, or retention unless separately agreed in writing. Website/FAQ statements do not alter this.
You secure your credentials and access. HawkIntel may monitor for security/billing. We may suspend for risks without notice.
Fees are non-refundable. Overages/true-ups due immediately. Late payments accrue 1.5%/month interest max by law. You pay all collection costs, including attorneys’ fees. No chargebacks without 10-day notice.
No unlawful use, malware, reverse engineering, scraping, or excess benchmarking. Breaches justify immediate termination.
Service and IPs are HawkIntel’s exclusively. You own your Customer Data; we own Outputs’ format. Feedback is ours royalty-free.
Protect our info; we may share yours with Affiliates/providers as needed.
THE SERVICE, SITE, OUTPUTS, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS. HAWKINTEL HEREBY EXPRESSLY DISCLAIMS, AND CUSTOMER HEREBY EXPRESSLY WAIVES, ALL EXPRESS, IMPLIED, STATUTORY, AND COMMON LAW WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING BUT NOT LIMITED TO:
NO ORAL, WRITTEN, ELECTRONIC, OR MARKETING REPRESENTATION (INCLUDING WEBSITE CONTENT, DEMOS, OR SUPPORT STATEMENTS) CREATES ANY WARRANTY. HAWKINTEL DOES NOT WARRANT THE SERVICE WILL MEET YOUR REQUIREMENTS OR PRODUCE SPECIFIC RESULTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER ANY LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, GROSS NEGLIGENCE, STATUTORY, OR OTHERWISE), HAWKINTEL (INCLUDING AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS) TOTAL AGGREGATE CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (I) $100 OR (II) THE AMOUNTS ACTUALLY PAID BY CUSTOMER TO HAWKINTEL FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE FIRST CLAIM.
IN NO EVENT SHALL HAWKINTEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ENHANCED, MULTIPLIED, OR STATUTORY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, PROFITS, GOODWILL, USE, DATA, BUSINESS OPPORTUNITIES, ANTICIPATED SAVINGS, BUSINESS INTERRUPTION, PROCUREMENT COSTS, PERSONAL INJURY, PROPERTY DAMAGE, OR THIRD-PARTY CLAIMS, EVEN IF ADVISED OF THE POSSIBILITY OR INEVITABILITY OF SUCH DAMAGES, OR IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
CUSTOMER ACKNOWLEDGES THIS ALLOCATION OF RISK IS AN ESSENTIAL, MATERIAL INDUCEMENT TO HAWKINTEL PROVIDING THE SERVICE AT THE PRICE OFFERED, AND CONSTITUTES A REASONABLE COMMERCIAL ALLOCATION OF RISK. CUSTOMER EXPRESSLY AND IRREVOCABLY WAIVES ANY CHALLENGE TO THIS LIMITATION’S ENFORCEABILITY.
You shall defend, indemnify, and hold harmless HawkIntel, Affiliates, officers, directors, employees, agents, licensors (each an “Indemnified Party”) from ALL claims, losses, damages, liabilities, penalties, fines, costs (including attorneys’/expert fees), arising from:
We control defense/settlement. Your duty survives termination. This is broad, irrevocable protection.
You fully RELEASE HawkIntel from ALL claims except those from our gross negligence/willful misconduct where unenforceable.
We may suspend/terminate anytime for any reason, including nonpayment/breach/risk. Obligations survive.
Wyoming law governs. Exclusive venue: Laramie County, WY courts. You waive objections. Arbitration possible at our option; no class actions.
Prevailing party recovers all fees/costs. Breaches cause irreparable harm; injunctions without bond. Our records are evidence.
Entire agreement; we assign freely; no waivers unless written; severability; construed for us if ambiguous. Updates posted online bind you upon access/use.
NO OTHER TERMS APPLY. YOUR USE CONFIRMS AGREEMENT.
